Master Distributor Insurance Requirements

Your organization will need to carry the below insurance coverage to comply with EASY Wireless distributor requirements.

Insurance

  1. Workers’ Compensation: Coverage for statutory obligations imposed by laws of any State in which the work is to be performed;
  2. Employer’s Liability: Coverage for injuries to employees not covered by workers’ compensation with limits of at least $1,000,000 each accident, $1,000,000 each employee by disease, and $1,000,000 policy limit by disease;
  3. Commercial General Liability: Coverage for third party bodily injury and property damage, personal injury, products liability, and contractual liability, with limits not less than $1,000,000 per occurrence and $2,000,000 in the Aggregate;
  4. Umbrella or Excess Liability coverage with a minimum policy limit of no less than $5,000,000;
  5. Crime Coverage including Employee Dishonesty: Coverage with limits of no less than $500,000;
  6. If Company represents TSB on TSB’s behalf, then Company must carry an Employment Practices Liability Insurance (EPLI) policy for no less than $1,000,000 which provides third party liability coverage for wrongful third party acts which include (but are not limited to) harassment, discrimination, or the violation of the civil rights of an individual.
  7. Professional Liability with limits of no less than $5,000,000 per Claim and in the annual aggregate, covering all acts, errors, omissions, and negligence including Infringement of intellectual property (except patent and trade secret) and network and privacy risks (including coverage for unauthorized access, failure of security, breach of privacy perils, wrongful disclosure of information, as well as notification costs and regulatory defense). The policy shall contain an affirmative coverage grant for contingent bodily injury and property damage emanating from the failure of the technology services or an error or omission in the content or information provided; and
  8. If Company will have access to TSB’s Computer Systems, then Company must obtain and maintain a Cyber Liability Policy with a minimum policy limit of no less than $1,000,000.

All insurance policies shall be (i) primary and non-contributory with respect to any other insurance that may be maintained by TSB and notwithstanding any provision contained herein, the Company, and its employees, agents, representatives, consultants, subcontractors and suppliers, are not insured by TSB, and are not covered under any policy of insurance that TSB has obtained or has in place. Evidence of the insurance required by this Agreement must be provided with an original certificate of insurance (fax copy is not acceptable) and updated not less than annually, at least 30 days prior to the expiration date of any of the policies.

All insurance policies required by this Agreement shall comply with the following requirements. All insurance policies shall:

  • Be issued by an insurance carrier rated A.M. Best rating of A-(VIII) or better;
  • Contain waiver of subrogation in favor of TSB., and any and all subsidiaries. If an insurance policy requires an endorsement for waiver of subrogation, the endorsement shall be submitted along with the certificate of insurance.
  • Name “Telecom Service Bureau, Inc.., a Florida corporation, and any and all subsidiaries,” as additional insureds (except for the Workers’ Compensation coverage). The Certificates of Insurance holder’s name shall read as follows: “Telecom Service Bureau, Inc.., a Florida corporation and any and all subsidiaries.” A copy of the additional Insured endorsement must be submitted with the certificate of insurance.  The original Certificates of Insurance shall be forwarded to:

  • Notwithstanding the above Section 14.3(c), the policies shall not be required to include TSB as an additional insured with respect to EPLI coverage required under subsection (f) of Section 14.1.
